Terms of Service.

1. General terms.
   1. Acceptance of TOS.

      By using our platform, you confirm that you have read, understood, and agree to be bound by these TOS.

   2. Platform changes.

      Metis reserves the right to make changes to the platform at any time, with or without notice. This may include adding or removing features, altering the user interface, or suspending certain functionalities. We may also introduce fees for specific features at our discretion. If you do not agree with these changes, you may stop using our platform at any time.

2. Intellectual property rights.
   1. Ownership.

      All content available on the Metis platform, including but not limited to text, images, videos, and other multimedia content (collectively referred to as the “Service”), is owned or licensed by Metis or third-party providers. This content is protected by copyright, trademarks, and other intellectual property rights under the laws of Spain and the European Union.

   2. Protection of intellectual property.

      You acknowledge that the Service has been developed through significant investment of time, effort, and resources, and constitutes valuable intellectual property of Metis. You agree to respect and protect these rights and not to use, copy, or distribute any part of the Service without prior written consent from Metis. Unauthorized use of any part of the Service may lead to legal action.

3. Usage restrictions.
   1. General restrictions.

      You agree not to use the Service for any unlawful purposes or in any manner that violates these TOS. Specifically, you must not:

      • Copy, modify, or distribute any part of the Service.
      • Use the Service to create or improve any competing product or service.
      • Exploit the Service for commercial purposes without explicit authorization from Metis.
   2. Consequences of violation.

      Violation of these terms may result in immediate termination of your access to the Service and legal consequences. In cases involving data privacy violations, Metis may take the following actions:

      • Issue a warning or request for immediate correction of the breach.
      • Suspend or terminate your account temporarily or permanently.
      • Report the violation to the relevant data protection authorities, such as the Agencia Española de Protección de Datos (AEPD when required by law.
      • Seek compensation for any damages caused to Metis or affected users as a result of the breach.
4. License.
   1. Terms of license.

      By accessing and using the Service, you are granted a limited, non-exclusive license to use the content for personal, non-commercial purposes only. This license does not transfer ownership rights and may be revoked at any time without notice.

   2. Auto-renewal terms.

      The license will automatically renew unless canceled. Billing will take effect unless the license is canceled before the billing date stated in the license agreement.

5. Account creation.
   1. Creating and maintaining an account.

      To access certain features, you may need to create an account. You must provide accurate information and keep your account details up to date. If your account is created by an administrator (e.g., your employer), additional terms may apply.

   2. Account security.

      You are responsible for maintaining the confidentiality of your account credentials and must notify us immediately if your account is compromised.

6. Subscription plans.
   1. License upgrades.

      If you upgrade your plan, the change will take effect immediately, granting you access to the additional features associated with the upgraded plan.

   2. License downgrades or cancellations.

      If you downgrade or cancel your plan, you will retain access to your current features until the end of your subscription period. The cancellation or downgrade will only be effective once the subscription period for your license has ended.

   3. Payment processing.

      All transactions are securely handled through Stripe. Metis does not store your payment details, ensuring your financial information remains protected.

7. Limitation of liability and disclaimer.
   1. Service disclaimer.

      The Service is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Service, including but not limited to its accuracy, reliability, or availability.

   2. Limitation of liability.

      Metis will not be liable for any direct or indirect damages resulting from the use or inability to use the Service, even if advised of the possibility of such damages.

      In no event will our total liability exceed the amount paid by you for accessing the Service.

8. Indemnification.

   You agree to indemnify and hold Metis, its affiliates, and their respective officers, directors, employees, and agents harmless from any claims, liabilities, or expenses arising from your use of the Service, violation of these TOS, or infringement of any third-party rights.

9. Termination.
   1. Termination by Metis.

      We reserve the right to terminate or suspend your access to the Service at any time, with or without cause.

   2. Post-termination obligations.

      Upon termination, you must cease using the Service. We are not liable for any damages resulting from the termination of your access.

10. Governing law.

    These TOS are governed by the laws of Spain, the European Union. Any disputes arising from or related to these terms will be subject to the exclusive jurisdiction of the courts of Spain.

11. Export compliance.

    The Service may be subject to export laws and regulations of Spain, the European Union and other jurisdictions. You represent that you are not listed on any sanctions list in these jurisdictions. Access to the Service from regions where its content or use is illegal is strictly prohibited.

12. Miscellaneous.

    These TOS constitute the entire agreement between you and Metis concerning your use of the Service. If any provision of these TOS is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
